Benchmark International is a sell-side only M&A firm with offices across three continents. We have been engaged by each opportunity presented here on a sole and exclusive basis. We charge our clients an initiation fee at the time of engagement, which we believe demonstrates to us, and to buyers, that these business owners are committed and motivated sellers. We then charge a success fee due on the closing date and nothing in between.  We believe this aligns our interests with those of our clients and ensures that we have a strong interest in helping any agreed deal get to and across the closing table.

We have no incentive to delay, to make introductions that are not likely to lead to closing, or to stand in the way of any deal acceptable to our client. We know that acquirers are interested in keeping their fees down, avoiding blown deal fees, and maintaining high close rates. By serving our clients well, we also serve the acquirer well in these regards.

We are sector-agnostic but specialize in assisting owner-operated, family-owned business that have never taken any outside equity and are typically debt-free. The largest concern we hear from potential acquirers of these businesses is that the owners lack an understanding of the importance of due diligence and the overall deal process. We have custom-built our teams, software, and workflow to address this issue. Our teams typically consist of ten trained professionals with specializations in skills including accounting, finance, marketing, and negotiation. This allows us both the bandwidth and the know-how to bridge this gap between acquirer expectations and seller capabilities.

This year is on track to be the fourth consecutive year in which we’ve represented sellers on hundreds of successful transactions. We sell businesses to a variety of publicly-traded acquirers, handle dozens of cross-border transactions, and entertain offers from the world’s largest, and smallest, PE funds.

We are equally comfortable assisting in the creation of the complex deal structures sometimes need to bridge a valuation gap and in explaining those structures to our clients. Many of our deals involve characteristics previously only common to bulge bracket deals – such as rollovers, reps and warranties insurance, and sales of personal goodwill.  Our professionals are familiar with every deal term in your toolkit and can help our clients understand and evaluate each’s applicability to a given transaction.
